Recently, Zhejiang held a special training session on the merger and reorganization of listed companies in its jurisdiction, with over 200 actual controllers, executives of listed companies, and heads of financial departments of local governments participating in the training. The training invited experts from the Securities and Futures Commission and the Shanghai and Shenzhen Stock Exchanges to provide systematic explanations on the latest policies, typical cases, and practical operations of mergers and reorganizations. Some listed companies also conducted group discussions to actively promote the implementation of merger and reorganization policies in Zhejiang. The meeting stated that the introduction of new regulations and supporting rules for major asset reorganizations has brought new opportunities for the high-quality development of listed companies in the area. Zhejiang's listed companies should take action quickly, effectively utilize and leverage the tools provided by merger and reorganization policies, and achieve high-quality development. First, they should seize the opportunity and take proactive actions to further enhance the resilience of the industrial chain through horizontal integration and vertical extension, seeking a second growth curve. Second, they should plan scientifically according to their own needs, transforming policy dividends into development momentum. Third, they should standardize operations, adhere to the bottom line, implement mergers and reorganizations in compliance with laws and regulations, and effectively prevent illegal behaviors such as chasing hotspots, "deceptive" reorganizations, and insider trading. Next, the Zhejiang Securities Regulatory Bureau will conscientiously implement the work arrangements of the Securities Commission, strengthen communication and cooperation with stock exchanges, adhere to market-oriented and rule of law principles, strengthen regulatory services, actively create a good ecological environment for mergers and reorganizations in the area, and support the high-quality development of listed companies.
