FF: Canceling nearly 50 million subscription warrants and adjusting financing settlements.

Faraday Future announced that, following unanimous agreement with investors, it has terminated a total of 5,359,525 subscription rights certificates for Class A common shares. In addition to the termination of 44,551,199 subscription rights certificates in December 2025, the company has now eliminated approximately 49.9 million subscription rights certificates in total. The company has revised its securities purchase agreement dated July 14, 2025, in order to optimize the delivery structure and expedite the funding process. Subsequently, the company will no longer issue subscription rights certificates to certain investors in future deliveries, further reducing potential dilution and helping to decrease the company's potential liabilities. During the crucial period of volume growth in the company's three-in-one robot business, the company will continue to optimize its asset-liability structure, select the most suitable financing methods, and lay a solid foundation for the long-term value realization and introduction of strategic investors.
