Notice from Jiaotong University Sinuo: The company plans to acquire 60.28% equity of Beijing Beijiao Communication Technology Co., Ltd. held by Beijing Xintong Chuanglian Technology Partnership Enterprise and Ye Xi through issuing shares and cash payment. After the transaction is completed, the company will hold 100% of Beijiao Communication. At the same time, the company plans to issue shares to no more than 35 specific objects to raise matching funds for the construction of target assets projects, payment of cash consideration, and intermediary fees. This transaction does not constitute a related party transaction, nor does it constitute a restructuring for listing.
