Sinopec Natural Gas (00603) signs agreement with Victory Gas (000407.SZ) for issuance of shares and payment of cash to acquire assets.

Zhito Finance News App, China Oil and Gas (00603) announced that on November 10, 2025, China Oil Investment, Tianda Litong, China Oil Zhongtai (collectively referred to as "China Oil and Gas Transaction Parties") and Victory Shares (000407.SZ) entered into an agreement to issue shares and pay cash to purchase assets, further implementing the terms of the proposed transaction. The proposed transaction includes Victory Shares' acquisition of (i) 100% equity of China Oil Zhuhai; (ii) 100% equity of Tianda Shengtong; (iii) 51% equity of Nantong China Oil; and (iv) 40% equity of Ganhe China Oil. After friendly negotiations between the parties to the transaction, the issuance price for the purchase of assets through the issuance of shares in the proposed transaction was determined to be RMB 3.07 per share.
