The Independent Directors' Committee (Independent Directors' Committee), composed of all independent non-executive directors who do not directly or indirectly have rights in some offers, including Mr. Lin Qiucheng, Mr. Wang Anxin, and Mr. Hu Guocai, has been established in accordance with Rules 2.1 and 2.8 of the Takeover Code to provide opinions and recommendations to eligible offer shareholders on whether the terms of some offers are fair and reasonable and to accept some offers.
