CHINA FORTUNE (00110) announced on January 8, 2025, that the company has entered into a subscription agreement with subscribers Mr. Lei Yongjia and Ms. Zhang Xia. The company has conditionally agreed to issue and allot shares to the subscribers, who have conditionally agreed to subscribe for a total of 16 million shares at a subscription price of HK$0.26 per share under general mandate.
The subscription shares will represent approximately 6.7% of the company's existing issued share capital as of the announcement date, and approximately 6.3% of the enlarged issued share capital assuming no other changes in the issued share capital between the announcement date and the completion date.
The subscription price of HK$0.26 per share represents a premium of approximately 44.4% over the closing price of HK$0.18 per share on January 8, 2025.
