COMPUTIME(00320): Li Shangyu is appointed as an independent non-executive director.

COMPUTIME (00320) announces that Mr. Lu Guanhao and Mr. Shi Weide will not seek re-election and will retire as independent non-executive directors after the conclusion of the shareholders' annual general meeting in 2023. After their retirement, Mr. Lu will no longer serve as the Chairman of the Audit Committee, a member of the Nomination Committee, and a member of the Remuneration Committee. Mr. Shi will no longer serve as the Chairman of the Remuneration Committee, a member of the Audit Committee, and a member of the Nomination Committee. Ms. Li Shangyu has been appointed as an independent non-executive director, a member of the Audit Committee, a member of the Nomination Committee, and a member of the Remuneration Committee, effective from September 7, 2023. Following the retirements of Mr. Lu and Mr. Shi, and the appointment of Ms. Li, the Board of Directors announces that Mr. Guan Wenhao has been transferred from a member of the Audit Committee to the Chairman of the Audit Committee, Mr. He Baichuan has been transferred from a member of the Remuneration Committee to the Chairman of the Remuneration Committee, and non-executive director Mr. Wang Junguang has been appointed as a member of the Nomination Committee, effective from September 7, 2023. Therefore, the company has complied with the provisions of Listing Rules 3.10, 3.21, and 3.25.
