DASHAN EDU (09986) intends to establish a project company with the God of Light to develop and utilize the world's first artificial intelligence multimodal social network platform "ViVi.AI".

DASHAN EDU (09986) announced that on November 14, 2024, its wholly-owned subsidiary signed a cooperation agreement with Light of God Technology Group Limited ("Light of God"). According to this agreement, the group and Light of God will establish a project company dedicated to developing a mixed social project that combines real people with their DIGIHUMAN based on artificial intelligence technology. The project company plans to develop and utilize the world's first artificial intelligence multimodal social network platform named "ViVi.AI," bringing together global talents in artificial intelligence, Web3.0, and social platform operation. The directors of the company believe that this business will inject new vitality into the group's development. The project company is temporarily named Zhuyu Artificial Intelligence Social Network International Limited, with an estimated registered capital of HK$30 million, of which the group will contribute HK$15.3 million, accounting for 51% of the total capital, and Light of God will contribute HK$14.7 million, accounting for 49% of the total capital. Considering the advantages in artificial intelligence and related fields, the board of directors believes that entering into the cooperation agreement will enable the group to seize potential business and investment opportunities, and align with the overall interests of the company and shareholders.
