HUILI RES (01303) announced that on September 25, 2024 (after trading hours), the company entered into a subscription agreement with Mr. Bong Chin Chung, the subscriber. Under the agreement, the subscriber conditionally agreed to subscribe, and the company conditionally agreed to issue, a total of 85.82 million subscription shares at a subscription price of HK$38.619 million, equivalent to HK$0.45 per subscription share. The subscription price represents a discount of approximately 6.25% to the closing market price of HK$0.48 per share on the date of the subscription agreement, September 25, 2024.
The subscription shares to be issued and distributed under the subscription will represent approximately (i) 4.3% of the company's issued share capital as at the date of this announcement; and (ii) approximately 4.1% of the company's issued share capital after the issuance of the subscription shares (assuming no changes to the issued share capital from the date of this announcement to the completion date). The total subscription price of HK$38.619 million will be settled and paid by the subscriber at completion through set-off of the principal amount of bills and accrued interest as of the date of the subscription agreement, amounting to HK$37.36 million and HK$1.259 million respectively.
