The Bank of China announced that the resolution to amend the Articles of Association of Bank of China Limited and no longer establish the Bank of China Board of Supervisors was approved during the 2024 Annual General Meeting of Shareholders held on June 27, 2025. The bank recently received approval from the China Banking and Insurance Regulatory Administration for the revision of its Articles of Association. As of the date of approval of the revision of the Articles of Association, the Bank will no longer establish a Board of Supervisors in accordance with the provisions of the Articles of Association. The Audit Committee of the Board of Directors will exercise the powers of the Board of Supervisors as stipulated by the Company Law of the People's Republic of China and other laws and regulations. Ms. Wei Hanguang, Mr. Jia Xiangsen, Mr. Hui Ping, and Mr. Chu Yiyun will no longer serve as supervisors of the Bank of China and confirm that they have no disagreements with the Bank and no other matters to notify the Bank's shareholders. The Bank expresses its gratitude for the contributions made by all supervisors during their tenure.
