North Ma High-tech and its affiliates jointly invested in Sinair Aviation, relinquishing their preemptive rights to subscribe.

On September 15, 2025, Beimo High-Tech held the third meeting of the fourth board of directors, and approved the proposal to jointly invest in the wholly-owned subsidiary Saini Aviation with the related party Saini Ruichi and waive the preemptive rights. Saini Ruichi will subscribe for 2 million yuan to increase the registered capital of Saini Aviation by 2 million yuan. After the capital increase, the registered capital of Saini Aviation will increase from 8 million yuan to 10 million yuan, and Beimo High-Tech's shareholding ratio will decrease from 100% to 80%. Since the chairman of Saini Aviation, Wang Fei, and the limited partner of Saini Ruichi, Li Rongli, are related parties of the company, this investment constitutes a related party transaction. The transaction is in line with the company's strategic planning in the civil aviation sector and will not affect its independence and financial condition. From the beginning of the year until now, the company has had related transactions with related parties totaling 581,719.93 yuan.
