On the morning of September 10th, Jinan Industries announced on the Hong Kong Stock Exchange that Jinan (Group) Limited, the offeror, plans to privatize Jinan Industries Limited in a scheme arrangement. The court hearing for the plan, scheduled for September 9, 2025 (Tuesday) (Cayman Islands time), was approved by the High Court (unamended). The High Court also confirmed on the same day the reduction of the company's share capital related to the plan. It is expected that the plan will come into effect on September 16, 2025 (Tuesday) (Cayman Islands time) after all remaining conditions are met or waived (if applicable). The company will make further announcements after the plan takes effect. The company has applied to the Stock Exchange for the cancellation of the listing of its shares on the Stock Exchange, which will take effect immediately as of 4:00 pm on September 18, 2025 (Thursday), but this can only be done after the plan takes effect.
