Dalian Shengya: Intends to Sign Settlement Agreement with Chongqing Shunyuan, Shareholders of Zhenjiang Project Company

Announcement of Dalian Shengya: The company held a board meeting on September 9, 2025, and approved the "Proposal to be signed with shareholder Chongqing Shunyuan of Zhenjiang Project Company". According to the agreement, the company agrees to pledge 29.02% of its equity in Zhenjiang Dabai Whale to Chongqing Shunyuan, and delay the exit time to no earlier than December 31, 2026, under certain conditions. In addition, the company also agrees to adjust the exit price calculation interest rate in the investment agreement to 8% for the first three years and 10% thereafter. If the exit cannot be achieved by December 31, 2026, the company will have the right to require the equity to be sold at the assessed value or to require the issuance of shares to fulfill the equity purchase obligation.
