Announcement from Xin Zhu Holdings: The company plans to transfer 35.90929% equity of Shanghai Owetech Technology Development Co., Ltd. held by the company to Sichuan Development Leading Capital Management Co., Ltd. through a non-public agreement, at a transaction price of 361 million yuan. After this transaction is completed, the company will no longer hold any equity of Owetech Technology. This transaction constitutes a related party transaction, which has been approved by the Special Meeting of Independent Directors of the Company at the Fifth Meeting in 2025 and the Thirty-First Meeting of the Eighth Board of Directors, with related directors abstaining from voting. This transaction still needs to be approved by the Company's Shareholders' Meeting.
