China Unicom (00833) completes the acquisition of WinnerSky Technology Hong Kong Limited

Intelligence Finance APP news, Huaxun (00833) announced that on August 20, 2025, the Group completed the acquisition of all the issued share capital of WinnerSky Technology Hong Kong Limited (the target company) and the transfer of all existing shareholder loans owed to the seller Clearmoon International Limited (as the seller) through its indirect wholly-owned subsidiary for a total consideration of 4.3925 million Malaysian Ringgit (equivalent to approximately 8.14 million Hong Kong dollars*). The total consideration was determined after fair negotiation by all parties and with reference to the net asset value of the target company and the outstanding shareholder loans of 1.377 million Malaysian Ringgit (equivalent to approximately 2.55 million Hong Kong dollars*). The consideration will be paid from the company's internal resources, and the Board of Directors expects that the acquisition will not have any significant adverse impact on the Group's financial position or operations. After completion, the target company and its wholly-owned subsidiary Winner Sky Technology Malaysia Sdn. Bhd. (registered in Malaysia) (collectively referred to as the "target group") will become indirect wholly-owned subsidiaries of the company, and the financial performance of the target group will be consolidated into the Group's consolidated financial statements.
