Wan Chen Group: Wang Zening and its concerted parties' shareholding ratio increases to 58.0904%

Announcement of Wanchen Group: On August 11, 2025, Fujian Shy Plant Agriculture Development Co., Ltd., Zhangzhou Jinwanchen Investment Co., Ltd., Wang Zening, Zhang Haiguo, Zhou Peng, and Li Xiaoyu signed the "Share Transfer and Voting Rights Entrustment Agreement". According to the agreement, Fujian Agricultural Development, Zhangzhou Jinwanchen, Wang Zening, and Zhang Haiguo intend to transfer 9.89 million shares of Fujian Wanchen Biotechnology Group Co., Ltd. to Zhou Peng through the agreement, accounting for 5.2714% of the total share capital of the listed company. At the same time, Zhou Peng and his spouse Li Xiaoyu will entrust the voting rights of the 12.29 million shares of the listed company they collectively hold after this agreement transfer to Wang Zening. After the completion of the equity changes, Wang Zening and its concerted action parties will collectively have the right to dispose of 109 million shares corresponding to the voting rights of the company, accounting for 58.0904% of the total share capital of the company.
