Shi Yun Circuit Announcement: The company plans to invest 125 million yuan in Shenzhen XinSheng Semiconductor Co., Ltd. through capital increase with related party Shunke Juxin and unrelated party Hongsheng Jiacheng using its own funds. After the completion of this transaction, the company will acquire a 3.8238% equity stake in the target company. Shunke Juxin is a partnership enterprise jointly established by New Hao International Group Limited, Guangdong Shunde Science and Technology Management Group Limited, and Guangdong Shunde High-tech Entrepreneurship Investment Management Limited. The related party of the company, Shunde High-tech, is the executing partner of Shunke Juxin, therefore, this transaction constitutes a joint investment by the company and the related party Shunke Juxin, constituting a related party transaction. This transaction does not constitute a major asset restructuring as stipulated in the "Management Measures for Major Asset Restructuring of Listed Companies." This transaction has been approved by the third special meeting of the fifth session of the Company's Board of Directors and the seventh meeting of the fifth session of the Board of Directors, and does not require approval from the shareholders' meeting.
