(hereinafter referred to as "Toda Electromagnetic Energy" or "Target Company") held by its controlling shareholder Hunan Electric Group Co., Ltd. (hereinafter referred to as "Hunan Electric Group") in cash. The transaction price for the 12.5% stake in Toda Electromagnetic Energy is RMB 208 million.
