Under this agreement, the company conditionally agrees to sell and the buyer conditionally agrees to purchase the sale shares and sale loans (comprising the entire issued share capital of the target company HuaYi Properties Limited and all outstanding intra-group loans owed by other members of the group to the target company), for a total consideration of 29 million Hong Kong dollars.
