Shanghai Electric: The Supervisory Board Approves the Proposal for Providing Guarantees for Borjte to Airbus by a Subsidiary.

Shanghai Electric Group Co., Ltd. held its 75th meeting of the fifth session of the Supervisory Board in July 2025 via communication, with all three supervisors in attendance. The meeting was in compliance with the Company Law and the company's articles of association. The meeting deliberated and passed the proposal on "Shanghai Electric Automation Group (Hong Kong) Co., Ltd. providing a billion euro guarantee for Broetje-Automation GmbH and its wholly-owned subsidiaries," approving Automation Hong Kong to provide a euro guarantee limit to Airbus for Broetje and its subsidiaries, with the validity period until a certain date in 2031, not exceeding a certain number of months. The guarantee will only take effect after approval by the shareholders' meeting and the transfer of 100% of Broetje's shares to Automation Hong Kong by Shanghai Electric Hong Kong Co., Ltd. The Supervisory Board believed that as Broetje signed the principal supply agreement with Airbus in March 2025, as a strategic supplier it must meet Airbus' unified requirements, making the guarantee necessary and reasonable. The voting result was 3 in favor, 0 against, and 0 abstentions. This matter still needs to be submitted for consideration by the shareholders' meeting.
