According to the Financial Services Commission of the British Virgin Islands, it was found that the only director of the second defendant Jian Hao Ventures Limited in the Wahaha inheritance case is Zong Fuli. The resolution and consent letter were last filed on March 7, 2024. Yang Xiang, a civil and commercial law expert and a think tank expert at the National Institute of Science and Technology Innovation, previously told reporters that in the entire cross-border inheritance structure, offshore trust structures typically occupy the top layer. Under the offshore trust, a holding company is then established, with the offshore trust further holding one to two BVI companies, and the BVI companies holding companies in the Cayman Islands, Hong Kong, or other offshore jurisdictions. In such a long chain of holding structures, the trustee usually only controls the account opened in the name of the trust and the first tier BVI company fully owned by the trust, and the trustee typically does not interfere in the operation and management activities of the second, third, fourth, and lower-tier companies below.
Yang Xiang speculated that it is very likely that the Jian Hao company controlled by Zong Fuli is a lower-tier company further away from the offshore trust, and Zong Fuli serves as a director or related controller of the lower-tier company. It is worth noting that the control of the company may be one of the reasons for setting up a trust in the British Virgin Islands. Li Ligai, founder of the Yi Xuan Family Office, told reporters that under the trust structure established in the British Virgin Islands, the settlor can maintain decision-making power over the company. However, after the manager sells the assets, the assets are still held by the trust. It is understood that under the laws of the British Virgin Islands, in the absence of special agreements by the settlor, the trustee only has the right to hold the company's shares, but not the voting rights of the shares.
