Hua Da Jiutian: Termination of Planned Major Asset Restructuring Transaction

According to the announcement of Huada Nine Sky, the company held a meeting on July 9, 2025, and approved a proposal to terminate the issuance of shares and pay cash to purchase assets and raise supporting funds, as well as related party transactions. The company originally planned to acquire 100% of the shares of Xinhe Semiconductor Technology Co., Ltd. and raise supporting funds, but the parties involved in the transaction did not reach an agreement on the core terms. In order to safeguard the interests of the company and all shareholders, it was decided to terminate this major asset restructuring.
