Dayfine Precision Machinery: Subsidiary Airwork Company taken over by consortium

Notice from Dayu Precision Machinery: The subsidiary company Airwork signed a syndicated loan contract in April 2019, and as of June 30, 2025, the remaining principal balance to be repaid is 88.3127 million US dollars, equivalent to approximately 632 million RMB. Due to failure to reach an agreement with the syndicate, the company received a notice from the syndicate on July 2, 2025, terminating the extension agreement, resulting in Airwork being in default. The syndicate has appointed Calibre Partners as the Receiver, implementing Receivership for Airwork, and informing that the directors' powers have been stripped. There has been a change in control of Airwork. The company will actively communicate with all relevant parties to properly resolve the matter and protect the rights and interests of the company and all shareholders.
