("Zhixueyun") in cash. The transaction price and acquisition ratio are still under further discussion. After the completion of this transaction, Zhixueyun will become a subsidiary of the company. According to preliminary estimates, this transaction may constitute a major asset restructuring as defined by the "Measures for the Administration of Major Asset Restructuring of Listed Companies." The transaction is planned to be carried out in cash, without the issuance of company shares, does not constitute a related party transaction, and will not result in a change in the company's controlling rights.
