Foshan Wealthland: Intends to issue shares and convertible corporate bonds to purchase 100% equity of Jiangsu Wealthland Semiconductor Technology Co., Ltd.

Foulds announced that it intends to purchase 100% equity of Jiangsu Fouldehua Semiconductor Technology Co., Ltd. through the issuance of shares and convertible corporate bonds, and to raise matching funds. This transaction constitutes a related party transaction and is expected to constitute a major asset restructuring, which will not result in a change in the actual controller of the company. The transaction still needs to be reviewed by the Shenzhen Stock Exchange and registered by the China Securities Regulatory Commission before it can be implemented.
