Zhejiang Securities Regulatory Bureau issued a warning letter to Zotye Automobile and related personnel regarding inaccuracies in the financial information disclosed in previous reports.

Zhejiang Regulatory Bureau: On January 15, 2025, Zotye Auto Co., Ltd. disclosed the Announcement on the Correction and Restatement of Prior Accounting Errors, correcting the financial data of the semi-annual related regular reports for the years 2021-2024 that were previously disclosed. The above issues reflect that the financial information disclosed by the company in the relevant reports was inaccurate. Zotye Auto's above actions violate Article 3 of the Measures for the Administration of Information Disclosure by Listed Companies. The Chairman of the company, Hu Zeyu, Chief Financial Officer Zhu Gu, former Chairman Huang Jihong, former President Lian Gang, former Vice President Cao Min, former CFO Yu Lili, and former Board Secretary Yang Haifeng violated Articles 4 and 51 of the Measures for the Administration of Information Disclosure by Listed Companies and bear primary responsibility for the aforementioned violations. In accordance with Article 52 of the Measures for the Administration of Information Disclosure by Listed Companies, our Bureau has decided to take supervisory measures of issuing warning letters to the company, Hu Zeyu, Zhu Gu, Huang Jihong, Lian Gang, Cao Min, Yu Lili, and Yang Haifeng, and record them in the integrity files of the securities and futures market.
