Jiahua intends to purchase 40.89% equity of Nanjing Tianyi Hexin Electronic Co., Ltd. for 319 million yuan.

Jiahua Announcement: Jiahua and its wholly-owned subsidiary Jevat plan to acquire 40.89% equity of Nanjing Tianyi Hexin Electronics Co., Ltd. for 319 million yuan, directly and indirectly, and actually control 41.31% of its equity. After the completion of this transaction, Tianyi Hexin will become a subsidiary controlled by the company and will be included in the consolidated financial statements. The company and Jevat will appoint three directors to the board of Tianyi Hexin, accounting for three-fifths of the total director positions. In addition, according to the agreement, the shareholders of Tianyi Hexin will act in concert with the company after the transaction.
