Shanghai Xiba: Transfer of 5.38% equity of Zhejiang Linggui

Shanghai Xiba Announcement: The company's controlling subsidiary Zhejiang Linggui Technology Co., Ltd. has introduced investors Dongguan Ruitai Entrepreneurship Investment Partnership Enterprise, Xinyu Ketai Investment Partnership Enterprise, Dongguan Yueke Xintai Industrial Control Entrepreneurship Investment Partnership Enterprise, and Yuemin Investment Huiqiao Jiuhao (Shenzhen) Investment Partnership Enterprise. The company transferred 3.75% of its shares in Zhejiang Linggui to Ruitai Investment, corresponding to 375,000 shares, at a transfer price of 15 million RMB; and transferred 1.50% of its shares in Zhejiang Linggui to Huiqiao Jiuhao, corresponding to 150,000 shares, at a transfer price of 6 million RMB. At the same time, Ruitai Investment, Ketai Investment, Yueke Xintai, and Huiqiao Jiuhao each subscribed for 10 million yuan, 20 million yuan, 5 million yuan, and 15 million yuan of Zhejiang Linggui's newly increased registered capital, with the premium part included in capital reserves. After the transaction is completed, Zhejiang Linggui's registered capital will increase from 10 million yuan to 11.111 million yuan, and the company's direct equity ratio in Zhejiang Linggui will change from 65% to 53.78%.
