(hereinafter referred to as "Emerging Group") and Beijing Golden Harvest Technology Development Co., Ltd. (hereinafter referred to as "Golden Harvest Technology") to acquire 100% of the equity of Golden Harvest Technology held by Emerging Group for a cash consideration of 302 million yuan.
