Foton Motor: Plans to transfer assets to BAIC BJEV Beijing Branch

Foton Motor announced that the company plans to transfer a total of 378 assets, including land use rights, factory buildings, and machinery and equipment, to the Beijing Branch of Beijing New Energy Automobile Co., Ltd., a related party. The transaction uses March 31, 2026 as the valuation benchmark date. The book value of the subject assets is RMB 941 million, the appraised value is RMB 1.390 billion, representing a value appreciation rate of 47.74%, and the tax-inclusive transaction price is approximately RMB 1.516 billion. The price shall be paid in a lump sum within 15 days from the date of delivery. This transaction constitutes a related-party transaction, and the relevant appraisal results have completed state-owned asset appraisal filing. In addition, the company's board of directors reviewed and approved amendments to the Articles of Association and the Rules of Procedure for Shareholders' Meetings, and submitted to the shareholders' meeting a request to authorize the management to handle industrial and commercial registration changes and other related matters.
