Tencent promises not to enter into or indirectly enter into exclusive copyright licensing agreements with copyright owners defined in the "Additional Restrictive Commitment Plan."
Tencent Holdings Limited and Tencent Music Entertainment Group announced on May 22 that the State Administration for Market Regulation issued the "Announcement on the Decision of Antitrust Review of Tencent Holdings Limited's Acquisition of Himalaya Company's Equity with Additional Restrictive Conditions on May 11, 2026". According to the "Decision" and the attached "Additional Restrictive Conditions Commitment Plan", we promise not to enter into or indirectly reach exclusive copyright licensing agreements with the copyright holders defined in the "Commitment Plan", and to terminate all existing exclusive licensing agreements within the specified period in the "Commitment Plan". Through this announcement, we hereby declare and inform all partners:
1. We will relinquish the rights related to exclusive authorization in the exclusive contracts for online audio content copyright with relevant copyright holders, and the copyright holders can authorize other operators on their own without holding the relevant copyright holders liable for authorizing other operators.
2. We will strictly comply with the requirements of the "Decision" and the "Commitment Plan", and terminate all existing forms of exclusive licensing agreements with relevant copyright holders, and we ask for the active cooperation of relevant copyright holders. In the future, we will actively seek to continue cooperation with partners in a non-exclusive manner. We highly cherish and value the good business relationships established with all partners over the long term. In future copyright cooperation, we will work together with all stakeholders to uphold market fairness and promote the healthy and innovative development of the online audio content industry in China.
