Fengshen Group: Dilution of ownership rights of the controlling shareholder and its concerted actors to 53.29%

Fengshen Corporation announced that the company issued 160,583,941 shares to specific objects, increasing the total number of shares from 729,450,871 to 890,034,812. The controlling shareholder China National Chemical Corporation Rubber Limited and its concerted action person China National Chemical Asset Management Limited originally held 59.01% of the shares. Although the Rubber Company subscribed for 43,795,620 shares, its total shareholding percentage was diluted to 53.29% by other investors participating in the subscription by February 12, 2026. This equity change does not involve a tender offer, will not lead to changes in the controlling shareholder or ultimate controller, and the company will amend its articles of incorporation.
