Paramount Skydance announced on January 22 that it has submitted preliminary proxy materials to the U.S. Securities and Exchange Commission, aiming to urge Warner Bros. shareholders to vote against the revised deal with Netflix and related proposals. Paramount also extended the deadline for its all-cash tender offer of $30 per share to February 20, 2026, reiterating its commitment to acquire Warner Bros. for $108.4 billion enterprise value, which is significantly higher and more certain than the $82.7 billion enterprise value claimed in the Netflix deal.
