Amid the tech stock selloff, humanoid Siasun Robot&Automation knocks on Nasdaq's door! Agility plans to list this week, with net sales of only US$174,000 for the half-year
It is understood that just as global tech stock investors are urgently asking when AI infrastructure will recoup its costs, and as the Nasdaq 100 Index and the Philadelphia Semiconductor Indexcovering nearly all mainstream tech stock targetsplunge together, Agility Robotics is heading to the U.S. stock market with an answer sheet that is easier to verify on site: its humanoid Siasun Robot&Automation Digit is already moving totes in customer warehouses, and customers have agreed to deploy it at more sites.
The latest disclosed news shows that shareholders of Churchill Capital Corp XI (CCXI.US) have approved the business combination with Agility Robotics. Agility Robotics is a leading humanoid Siasun Robot&Automation and physical AI company. The total fundraising expected in connection with the proposed business combination and related financing arrangements is approximately US$465 million, before transaction expenses. This includes approximately US$164 million from the Churchill XI trust account; approximately US$201 million in private investment in public equity (PIPE) of listed company common stock subscribed at US$10 per share, led by Foxconn with participation from major existing and new institutional investors; and US$100 million in equity financing previously received.
Agility Robotics is expected to have ample capital when it enters the public market, allowing it to invest in commercial expansion as planned and meet growing customer demand. Notably, Agility said it will be the only company publicly listed in the United States that is exclusively focused on humanoid Siasun Robot&Automation and has a validated, currently operating commercial deployment. Its shares are expected to begin trading on November 5.
Agility Robotics was spun out of Oregon State University's Dynamic Siasun Robot&Automation Laboratory in 2015, founded by Jonathan Hurst, Damion Shelton and Mikhail Jones. The company launched the early bipedal research Siasun Robot&Automation Cassie in 2017, laying the foundation for Digit, which debuted in 2019. Digit is equipped with a torso, two arms and sensors, and has stronger computing power. The company gradually shifted its focus from Siasun Robot&Automation locomotion research to practical material handling tasks in warehouses and factories. Peggy Johnson, a former Microsoft Corporation (MSFT) executive and former Magic Leap chief executive, became Agility's CEO in 2024, tasked with driving commercialization and scale expansion. Johnson said earlier this month: "Humanoid Siasun Robot&Automation is moving from exploring what is technically feasible to solving what is usable in real work. Our focus is on developing technology, building customer relationships, and laying the operational foundation needed for large-scale deployment."
Commercialization milestones include a 2024 "Siasun Robot&Automation-as-a-service" agreement with GXO Logistics (GXO), allowing customers to use Siasun Robot&Automation services without directly purchasing hardware. Agility's recently disclosed commercial deployments involve GXO (GXO), Schaeffler, Toyota Motor Corp. Sponsored ADR Canadian manufacturing company (TM) and MercadoLibre (MELI); the company has also obtained deployment commitments involving nine customer facilities. In September, Agility released the new-generation humanoid Siasun Robot&Automation Digit 5, designed to support large-scale, safe human-Siasun Robot&Automation collaboration. Digit 5 is based on more than 65,000 hours of real-environment operating records and years of commercial deployment experience, integrating customer feedback and technological advances, and is intended to promote broader application of humanoid Siasun Robot&Automation in manufacturing, warehousing and logistics.
Agility Robotics' well-known investors include e-commerce and cloud computing giant Amazon.com, Inc. (AMZN.US), AI chip leader NVIDIA Corporation (NVDA.US), the Vision Fund II established under the leadership of Japanese investment giant SoftBank, DCVC, Playground Global and Schaeffler.
In the emerging humanoid Siasun Robot&Automation market, especially in industrial and warehouse automation, Agility Robotics will compete fiercely with Figure AI, Tesla, Inc.'s (TSLA.US) Optimus (i.e., the Optimus humanoid Siasun Robot&Automation) project, Apptronik, Boston Dynamics, UBTECH ROBOTICS technology and 1X Technologies.
Philadelphia Semiconductor Index enters a bear marketon what basis can humanoid Siasun Robot&Automation knock on Nasdaq's door?
Just as investors are asking when trillion-dollar-scale AI infrastructure progress will recoup its costs, Agility Robotics is heading to the U.S. stock market with an answer sheet that is easier to verify on site: its humanoid Siasun Robot&Automation Digit is already moving totes in customer warehouses, and customers have agreed to deploy it at more sites. On November 2, shareholders of special purpose acquisition company Churchill Capital Corp XI approved the merger; if the deal closes as planned on November 4, Agility common stock will trade on Nasdaq under the ticker "AGLT" starting November 5.
Disclosure documents show that the transaction and accompanying financing are expected to raise approximately US$465 million, before expenses, and include the US$100 million already received. The "only U.S." prefix that the company currently emphasizes in investor marketing materials has a clear qualification: listed in the United States, exclusively focused on humanoid Siasun Robot&Automation, and with a validated and continuously operating commercial deployment.
This listing of a Siasun Robot&Automation company with the "only U.S." label has caught a window of severe correction in AI trading. In October, the Nasdaq 100 Index fell 6.65%, and the Philadelphia Semiconductor Index fell 15.36%; on October 29, Alphabet Class A shares plunged about 12.6%, the largest single-day decline since listing; the next day, Intel Corporation fell about 28.6% after earnings guidance missed expectations, the largest single-day decline since 1974. As of the end of October, the Philadelphia Semiconductor Index and the KOSPI had both fallen more than 20% from their year-to-date highs, entering technical bear markets. On November 3, the KOSPI fell another 3.59%, and memory chip giants SK Hynix and Samsung Electronics fell 5.03% and 4.15%, respectively.
Pressure in the credit market is more at new cloud service provider CoreWeave. Its stock fell 37.0% in October and another 8.6% on November 2. U.S. inflation rose from 3.4% to 3.7% in September, and the 10-year U.S. Treasury yield touched 5.36% on October 7 but had fallen back to about 4.9% by the end of the month. During the same period, CoreWeave's 9.75% coupon senior unsecured notes due 2031 were quoted at only 81.54% of face value on October 30, with a yield of 15.21%, about 10.5 percentage points higher than duration-matched U.S. Treasuries. Reuters, citing LSEG data, said that on October 15 the price of its credit default swaps (CDS) implied a five-year cumulative default probability of nearly 63%, versus about 30% a year earlier; this is the risk reflected in default protection prices, not the actual probability of bankruptcy.
The fundamental pressure recently facing CoreWeave and a host of new cloud players, including Alphabet Inc. Class C parent Alphabet, whose cash flow turned negative, and e-commerce and cloud computing giant Amazon.com, Inc., is that companies need to borrow first to buy GPUs and build data centers, then collect payments over multi-year computing contracts; CoreWeave has about US$50 billion in debt, while a single customer, Microsoft Corporation, accounts for about 67% of its 2025 revenue. Even if U.S. Treasury yields on maturities of 10 years and longer fall back, delivery delays, customer concentration and refinancing risk are still enough to make creditors demand high compensation.
From computing contracts to warehouse ledgers: with every box Digit moves, the market wants to know how much profit can actually be retained?
This round of declines has not made Wall Street abandon tech stocks. Deutsche Bank upgraded U.S. tech stocks back to "overweight" from "neutral" after tech and mega-cap growth stocks underperformed the rest of the S&P 500 by more than 16 percentage points in three weeks; Morgan Stanley's senior equity market strategist Mike Wilson believes midterm elections, AI spending doubts and liquidity pressure may push the S&P 500 down to 7,100 points first, but after the correction he remains bullish on 8,000 points.
These judgments are aimed at the sector and the broader U.S. stock market. For Agility, whether the logic for actively allocating to the stock holds depends on whether frontline warehouse customers are willing to keep paying and how much more money must be invested for each additional Siasun Robot&Automation.
Logistics provider GXO has provided evidence more valuable than a demo video: Digit has moved more than 100,000 totes at one of its Georgia facilities, and the two sides have also agreed to expand to two other facilities. For warehouses, the key is whether the Siasun Robot&Automation can safely operate for several consecutive shifts in environments with mixed human and vehicle traffic and changing loads; for Agility, "Siasun Robot&Automation-as-a-service" lowers the threshold for customers to buy machines outright, but requires service fees to cover equipment depreciation, maintenance, downtime and on-site support costs.
The company disclosed that the potential value of multi-year orders for Digit 5 exceeds US$300 million, with realization depending on product specifications and contract milestones; the prospectus shows that actual net sales in the first half of 2026 were only about US$174,000. The key indicators after listing are therefore very specific: whether paid pilots can expand to more sites, whether the effective operating time per Siasun Robot&Automation can increase, and whether each box moved can leave sustainable gross profit.
