On October 20, DIAGENS-B (02526) disclosed its first post-listing equity incentive grant arrangement. A total of 778,962 share awards were granted to 23 employees, representing 0.88% of the company's total issued H shares; among them, the exercise price of the share options is RMB 230.44, a 3.34% premium to the closing price on the grant date, deeply aligning employee returns with the company's long-term value appreciation and demonstrating the company's confidence in future development. This incentive is the first implementation after the company's 2026 share incentive plan was approved by the shareholders' meeting, comprising two types: share options and restricted share units (RSUs). Among them, 238,300 share options were granted to 11 employees at an exercise price of HK$230.44 per share, 3.34% higher than the closing price of HK$223 on the grant date. After satisfying vesting and exercise conditions, employees may subscribe for shares at this price; the greater the share price increase, the higher the potential spread gain. A total of 540,662 RSUs were granted to 23 employees at a grant price of RMB 1 per share, balancing recognition of historical contributions with retention of core talent. The vesting periods of the two types of shares range from 5 months to 48 months, tied to conditions such as continued employment and annual performance assessments, and the relevant shares will be settled through the issuance of new H shares. As a company in the medical imaging AI sector, DIAGENS advances R&D and clinical implementation around the iMedImage general medical imaging foundation and the iMedLoop platform, requiring long-term collaboration across teams in multiple fields including medicine, algorithms, engineering, and commercialization. This equity incentive consolidates core talent through a benefit-sharing mechanism, supports the transformation of technological accumulation into product and service capabilities, and further builds a long-term interest bond for employees and shareholders to share in growth.
