Grown Up Group (01842) proposes share consolidation on a "10-into-1" basis and proposes change of board lot size

GROWN UP GROUP (01842) announces that the board proposes to implement a share consolidation on the basis that every 10 issued and unissued existing shares of HK$0.01 each in the share capital of the Company be consolidated into 1 consolidated share of HK$0.10 each. As at the date of this announcement, the authorized share capital of the Company is HK$100 million (divided into 10 billion existing shares of HK$0.01 each), of which 1.44 billion existing shares have been allotted and issued, and have been fully paid or credited as fully paid. Upon the share consolidation becoming effective, and assuming that there is no change in the issued share capital of the Company from the date of this announcement to the effective date of the share consolidation, the authorized share capital of the Company will be HK$100 million (divided into 1 billion ordinary shares of HK$0.10 each), of which 144 million consolidated shares will be issued, and will be fully paid or credited as fully paid. In addition, as at the date of this announcement, the board lot size for trading of the existing shares on the Stock Exchange is 4,000 existing shares. It is proposed that, upon the share consolidation becoming effective and subject to the share consolidation becoming effective, the board lot size for trading on the Stock Exchange be changed from 4,000 existing shares to 5,000 consolidated shares.
