JSMART TECH (00567): Enters into a cooperation agreement with Weixun Technology, plans to expand into embodied intelligence and AI computing power storage-related businesses

JSMART TECH (00567) announces that, in view of the rapid development stage of the artificial intelligence (AI) and embodied intelligence markets, which contain enormous business opportunities and growth potential. The Group's business includes the manufacturing and trading of printed circuit boards (PCBs). PCBs are key core components of AI servers, computing and storage devices, chips, and Siasun Robot&Automation hardware. Leveraging its accumulated technology and experience, the Group plans to strategically expand into businesses related to embodied intelligence, computing power, storage, chips, and servers. This move aims to extend its main business along the PCB industry chain to high-value segments upstream and downstream, so as to further enrich the Group's revenue sources, seize industry development opportunities, and thereby create long-term value for the Company and its shareholders. To implement the above business strategy, the Group and SVA Distribution Limited ("SVA Distribution") entered into a cooperation agreement on September 21, 2026. Pursuant to the cooperation agreement, the Company and SVA Distribution intend to carry out comprehensive cooperation in the following areas: 1. Embodied intelligence business: SVA Distribution will leverage its extensive market and customer resource advantages and its position as an AGIBOT distributor to work closely with the Group to jointly expand the intelligent Siasun Robot&Automation market in Hong Kong, Macau, and the Asia-Pacific region. The scope of cooperation includes product research and development, customized development, marketing and promotion, equipment leasing, and manufacturing, committed to providing customers with a rich range of embodied intelligence products and one-stop solutions. 2. AI computing power and storage business: The two parties will work together to expand AI-related computing power, storage, chip, and server businesses. The cooperation model will combine the Group's research and development, manufacturing, and technical advantages in the PCB field with SVA Distribution's advantages in market channels, customer resources, project implementation, and value-added technical services, jointly providing high-quality technology products and integrated solutions to government agencies, public institutions, and commercial enterprises. SVA Distribution is a leading value-added technology solutions provider established in Hong Kong in 2018. SVA Distribution has many years of experience in technology product research and development, sales, and marketing, with a business network covering the Greater Bay Area and the Asia-Pacific region. SVA Distribution has long served the Hong Kong government, public institutions, and large commercial enterprises, and has a mature local technical service team and extensive market channel resources. In addition, SVA Distribution has actively made strategic arrangements in the embodied intelligence industry and has entered into a value-added distributor agreement with AGIBOT PTE. LTD., authorizing it to sell and promote its embodied intelligence Siasun Robot&Automation software and hardware products and supporting services in Hong Kong (AGIBOT distributor). The Board of Directors of the Company believes that this business expansion and strategic cooperation with SVA Distribution can generate significant synergies, help the Group quickly enter the embodied intelligence and AI computing power storage tracks, and are in line with the Group's long-term development strategy. The Company will steadily carry out the above businesses through professional teams, internal resource allocation, and external financing.
