Duiba (01753) announced that the Company has been notified by Xiaoliang Holding Limited (Xiaoliang Holding), the controlling shareholder of the Company, that on September 20, 2026, Xiaoliang Holding entered into a deed of gift with Kewei Holding Limited (Kewei Holding), pursuant to which Xiaoliang Holding agreed to transfer a total of 121 million shares of the Company (Shares) (representing approximately 11.21% of the total issued share capital of the Company as at the date of this announcement) to Kewei Holding, the Company's employee share award platform, for nil consideration (Transfer).
DUIBA (01753) announces that the Company has been notified by Xiaoliang Holding Limited (Xiaoliang Holding), the controlling shareholder of the Company, that on September 20, 2026, Xiaoliang Holding entered into a deed of gift with Kewei Holding Limited (Kewei Holding), pursuant to which Xiaoliang Holding agreed to transfer a total of 121 million shares of the Company (the Shares), representing approximately 11.21% of the total issued share capital of the Company as at the date of this announcement, to Kewei Holding, the Company's employee share award platform (the Transfer), for nil consideration. It is expected that the shares held by Kewei Holding will be used for awards granted or to be granted under the Company's employee incentive scheme. Meanwhile, based on the AI technology-driven high-growth business strategy, Kewei Holding undertakes that future additional incentive schemes will primarily be used for talent incentives required for the development of AI businesses, including the AI short drama business. In addition, Kewei Holding undertakes that all awards granted under existing and future additional incentive schemes shall comply with the vesting and lock-up arrangements under the Company's equity incentive management measures. This gift arrangement reflects the confidence and support of the Company's major shareholder in the Company's long-term development, and aims to further strengthen the long-term orientation of core talent, thereby helping to achieve the Company's medium- and long-term strategic goals. As at the date of this announcement, Xiaoliang Holding held a total of 455 million shares of the Company, representing approximately 42.21% of the total issued shares as at the date of this announcement. Upon completion of the Transfer, Xiaoliang Holding will hold a total of 334 million shares, representing approximately 31.01% of the total issued shares as at the date of this announcement. As at the date of this announcement, Kewei Holding held 1,828,300 shares, representing approximately 0.17% of the total issued shares as at the date of this announcement. Upon completion of the Transfer, Kewei Holding will hold a total of 123 million shares, representing approximately 11.38% of the total issued shares as at the date of this announcement. The Transfer will not result in any change in Xiaoliang Holding (i.e., the controlling shareholder of the Company). Meanwhile, Xiaoliang Holding and Kewei Holding will duly fulfill their information disclosure obligations in accordance with the requirements of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.
