The World Gold Group (03939) announced that on August 18, 2026 (after trading hours), the responsible person intends to subscribe or facilitate the subscription (either directly or through its affiliates or sub-agents) for bonds to be issued by the company with a total principal amount of HKD 5.5 billion, subject to the terms of the convertible bond subscription agreement and conducted in accordance with its terms. The issue price of the bonds shall be 100% of the total principal amount of the bonds, with each bond having a nominal value of HKD 2 million and its integral multiples.
WANGUO GOLD GP (03939) announced that on August 18, 2026 (after trading hours), the responsible person intends to subscribe or arrange for the subscription (by itself or through its affiliates or agents) and pay for the total principal amount of HK$5.5 billion of bonds to be issued by the company, subject to the terms of the convertible bond subscription agreement and to be conducted in accordance with its terms. The issue price of the bonds shall be 100% of the total principal amount of the bonds, and the nominal value of each bond shall be HK$2 million and its integral multiples. The preliminary conversion price is HK$15.62 per share, representing a premium of approximately 20.15% over the last closing price. Assuming that the bonds are fully converted at the preliminary conversion price of HK$15.62 per share, the bonds will be convertible into a maximum of 352 million new convertible bond shares, equivalent to approximately 7.40% of the enlarged issued share capital of the company after conversion, excluding treasury shares. The total proceeds from the bond issuance will be HK$5.5 billion, and after deducting the commissions and other estimated expenses, the net proceeds are expected to be approximately HK$5.439 billion. The company intends to use the net proceeds from the bond issuance to fund strategic acquisitions of overseas gold mining assets.
