CHIHO ENV (00976) released an announcement, noting that on July 31, 2026, Derichebourg S.A. issued a press release stating that the transaction was completed on the same day. According to that press release, the enterprise value of the transaction is 480 million. The revenue generated by the Scholz Group accounts for approximately 90% of the Group's revenue for the six months ending June 30, 2024. As stated in the Group's interim report for the six months ending June 30, 2024, the segment revenue and profit generated in Europe were approximately HK$8.098 billion and HK$190.9 million, respectively, while in Asia, they were approximately HK$867 million and HK$5.4 million, respectively, with the contribution from North America being negligible. As of the date of this announcement, the Company has not obtained any information regarding the transaction from the administrators. However, based on currently available information, the Board believes that the Scholz Group's operations are significant to the Group, and if the transaction is completed, the Group may realize a one-time gain from the transaction, although the Company will face a substantial decline in revenue and operating profit. After the completion of the transaction, the member companies of the Scholz Group will no longer be subsidiaries of the Company, and the financial performance of the Scholz Group will no longer be consolidated into the financial statements of the Group. The Company is consulting its advisors regarding the actions to be taken concerning the transaction and is making further inquiries with the administrators.
