SEAZEN (01030) announces that its subsidiary New Metro Global Limited proposes to carry out an international offering of guaranteed notes denominated in US dollars, with the guarantee provided by the company. A series of roadshows will be conducted for institutional investors. The pricing of the notes (including the principal amount, issue price, and interest rate) will be determined through a book-building process conducted by Citigroup Global Markets Limited and HAITONG INT'L Securities Limited (in alphabetical order) acting as joint global coordinators, joint bookrunners, and joint lead managers for the proposed note issuance. After the terms of the notes are finalized, the issuer, the company, and the initial buyers will enter into purchase agreements. The issuer and the company intend to use the net proceeds from the proposed note issuance for funding the simultaneous 2026 tender offer, refinancing existing debts, and for general corporate purposes.
