THELLOY DEV (01546) announces that the board has noted abnormal changes in the company's share price and trading volume recently. According to the company's controlling shareholder, Cheers Mate Holding Limited (Cheers Mate), Cheers Mate has been approached by an independent third party (potential buyer) recently regarding a potential transfer of some of Cheers Mate's equity interests in the company. If this matter materializes, it may have an impact on the company's shareholders in accordance with the takeover code. Among the potential buyers, Cheers Mate entered into a non-binding memorandum of understanding with two individuals (interested parties) on December 16, 2025. Pursuant to this agreement, the interested parties agreed to conduct due diligence on the group's affairs. As of the date of this announcement, the memorandum of understanding has been terminated by mutual agreement and negotiations with the interested parties have ceased. It is important to note that the memorandum of understanding is not binding, and Cheers Mate has not reached any final agreement with the interested parties. As of the date of this announcement, (i) Cheers Mate holds interests in 580 million shares, accounting for 72.5% of the total issued share capital of the company; and (ii) the potential transfer with the potential buyer (excluding interested parties) is in the initial discussion stage and negotiations are ongoing, but no final agreement has been reached with the potential buyer. Therefore, the potential transfer may or may not proceed. In addition, the company has applied to the Stock Exchange for the resumption of trading of its shares on the Stock Exchange from 9am on January 19, 2026.
