Sanhua Intelligent Control (02050) announced that the company held the thirty-first meeting of the seventh board of directors on March 25, 2025, and approved the "Proposal on the Merger of Wholly-Owned Subsidiaries." The board of directors agreed that the wholly-owned subsidiary Shaoxing Sanhua Automotive Thermal Management Technology Co., Ltd. (referred to as "Shaoxing Thermal Management") will absorb and merge with the wholly-owned subsidiary Shaoxing Sanhua New Energy Auto Parts Co., Ltd. (referred to as "Shaoxing New Energy"). After the merger is completed, Shaoxing Thermal Management will continue to exist, while Shaoxing New Energy will be legally dissolved. All of Shaoxing New Energy's assets, liabilities, rights, obligations, and other related matters will be transferred to Shaoxing Thermal Management according to the law.

The board of directors agreed to merge the wholly-owned subsidiary Shaoxing Sanhua Automotive Thermal Management Technology Co., Ltd. (referred to as "Shaoxing Thermal Management") with the wholly-owned subsidiary Shaoxing Sanhua New Energy Automotive Parts Co., Ltd. (referred to as "Shaoxing New Energy"). After the merger, Shaoxing Thermal Management will continue to exist, while Shaoxing New Energy will be legally deregistered, and all assets, liabilities, rights, and obligations of Shaoxing New Energy will be inherited by Shaoxing Thermal Management in accordance with the law. Recently, the company received a "Registration Notice" issued by the Market Supervision Administration of Yuecheng District, Shaoxing City, stating that Shaoxing New Energy has completed the deregistration procedures. The completion of this deregistration will not have a significant impact on the company's normal operations and financial condition, and will not harm the interests of the company and all shareholders, especially small and medium-sized shareholders.
