ZOOMLION (01157) Announcement: On November 25, 2025, the company entered into a "Placement Agent Agreement" with the placement agent, agreeing to issue convertible bonds not exceeding RMB 6 billion (approximately HKD 6.577 billion). The placement agent agrees to use reasonable efforts to facilitate at least six subscribers to subscribe for the convertible bonds at a price equivalent to 100% of the principal amount of the convertible bonds under the terms and conditions of the "Placement Agent Agreement", enter into a subscription agreement with the company and other agents, subscribe for the convertible bonds according to the terms of the subscription agreement and pay the price, or facilitate subscribers to subscribe for the convertible bonds and pay the price.
According to the "Placement Agent Agreement" and subject to the restrictions and conditions of the "Terms and Conditions", the company and the placement agent have agreed that bondholders have the right to convert their convertible bonds into H shares with paid-up capital, with an initial conversion price of HKD 9.75 per H share (adjustable).
