UNITEDENERGY GP (00467) announces that the company intends to conduct an international offering of US dollar-denominated priority notes. The notes will only be offered to non-US persons outside the United States in accordance with securities laws and regulations.
Arqaam Capital Limited, DBS Bank Ltd, HAITONG INT'L Securities Co., Ltd, Mashreqbank PSC, and Standard Chartered Bank have been appointed as the initial purchasers of the proposed notes offering. The pricing of the notes, including the offering price and interest rate, will be determined through bookbuilding by the initial purchasers. Once the final terms of the notes are confirmed, the company and the initial purchasers are expected to enter into a purchase agreement and other related documents.
The company will apply for the listing of the notes on the International Securities Market of the London Stock Exchange (LSE). According to the European Union (Withdrawal) Act 2018, the International Securities Market is not considered a UK regulated financial market under EU Regulation 600/2014, as it forms part of UK domestic law.
