SCHOLAR EDU (01769) announced that, since the preconditions set out in the subscription agreement have been met, the subscription is completed on October 24, 2025 in accordance with the terms and conditions of the subscription agreement. A total of 110 million subscription shares (equivalent to approximately 16.30% of the enlarged issued share capital of the Company through the issuance and subscription of shares) have been issued and distributed to the subscribers at a subscription price of HK$2.2 per share. The net proceeds from the subscription, approximately HK$241 million (after deducting expenses), will be used for (i) enhancing the teaching quality and student learning experience of the Group, including recruiting more course developers, optimizing and enriching course content and materials, renovating facilities and purchasing teaching equipment; (ii) future potential artificial intelligence projects; and (iii) supplementing working capital and general corporate purposes to support the Company's strategies.
