HATCHER GROUP (08365) terminates the subscription of convertible bonds under special authorization.

The HATCHER GROUP (08365) announced that on September 15, 2025 (after trading hours), the company entered into a settlement agreement with the subscriber of the convertible bonds, who agreed to accept HK$6.3788 million as the settlement amount for the convertible bonds. After receiving the full settlement amount, the parties agreed that all rights and obligations related to the subscription of the convertible bonds will be terminated. The directors believe that the termination of the convertible bonds subscription agreement will not have a significant adverse impact on the group's existing business operations and financial condition.
