K.H. GP HLDGS (01557) announced that regarding the winding-up petition filed by Ince & Co (the original petitioner) and Emperor International Holdings Limited (the substituted petitioner). After the winding-up petition filed by the original petitioner against Jianhong Foundations Limited (Jianhong Foundations) was dismissed by the court, the substituted petitioner has replaced the original petitioner as the petitioner against Jianhong Foundations.
On July 16, 2025, the court ordered the winding-up of Jianhong Foundations during the petition hearing.
Jianhong Foundations is a wholly-owned subsidiary of the company, mainly engaged in providing foundation and construction services and leasing machinery in Hong Kong, China. As of the year ended March 31, 2025, Jianhong Foundations accounted for over 5% of the group's total assets and income. Therefore, under Listing Rule 13.25(2), Jianhong Foundations is considered a significant subsidiary of the company. Despite the efforts of Jianhong Foundations' management to maintain its operations, the deterioration of the property development industry in Hong Kong has made it difficult to sustain operations. Therefore, Jianhong Foundations suspended its operations from January 2025. Given the above circumstances, it is expected that the winding-up of Jianhong Foundations will not have a significant adverse impact on the group's financial condition and overall operations.
