The Aluminum Corporation Of China (02600) intends to establish a joint venture company, Zhongtong (Tibet) New Energy Limited, with China Copper Corporation Tibet and Tibet Kai Investment, through joint investment in Ningxia Energy.

Aluminum Corporation of China (02600) announced that, on February 28, 2025, it was approved by the 31st meeting of the 8th Board of Directors to establish a joint venture company, tentatively named Zhongtong (Tibet) New Energy Limited, with the participation of Ningxia Energy Group Limited (Ningxia Energy), Zhongtong Xizang Mineral Development Limited Company (Zhongtong Tibet), and Tibet Development Investment Group Limited (Tibet Development) (the final name will be subject to approval by the business registration authority). Ningxia Energy, Zhongtong Tibet, and Tibet Development will respectively contribute RMB 1.139 billion, RMB 2.674 billion, and RMB 0.953 billion in cash. After the establishment of the joint venture company, Ningxia Energy, Zhongtong Tibet, and Tibet Development will hold 23.90%, 56.10%, and 20.00% of the equity of the joint venture company, respectively. The joint venture company will not become a subsidiary of the Company, and its financial performance will not be consolidated into the Company's accounts. As of the date of this announcement, the parties involved have not signed any specific agreements regarding the establishment of the joint venture company. Once specific agreements are signed, the Company will comply with the relevant provisions of the Hong Kong Listing Rules and fulfill its disclosure obligations in a timely manner.
