ESPRIT HOLDINGS (00330) announces that the following directors of the company have resigned, effective from the close of business on February 28, 2025: STRIPPOLI Anthony Nicola (Strippoli) has resigned as Executive Director of the company due to pursuing other personal interests and development, but will continue to serve as President of Operations for the Americas until April 11, 2025; CHUNG Kwok Bun has resigned as an Independent Non-executive Director due to pursuing other business opportunities; and CHEEH Kwai Choi has resigned as an Independent Non-executive Director due to pursuing other business opportunities. LIAO Tsui Fong has been appointed as an Independent Non-executive Director, effective from the close of business on February 28, 2025. The Board of Directors announces the following changes to the members of the Board committees, effective from the close of business on February 28, 2025: (a) Strippoli will no longer be a member of the Executive Committee; (b) Chung Kwok Bun will no longer be a member of the Audit Committee, Remuneration Committee, and Risk Management Committee; (c) Cheeh Kwai Choi will no longer be a member of the Audit Committee and Risk Management Committee; and (d) Liao Tsui Fong has been appointed as a member of the Audit Committee, Remuneration Committee, and Risk Management Committee.
